Harris County-Houston Sports Authority Board of Directors met May 23.

1. Call to order.

2. Approval of Finance Committee Meeting Minutes from April 4, 2024.

3. Discussion and review of a resolution approving the defeasance of the Authority's Series 2001H Bonds out of amounts in the Debt Repayment Account; approving an Escrow Agreement and other documents in connection therewith; authorizing certain officers to carry out all necessary actions related thereto; and making said recommendations to the Authority's Board of Directors.

4. Discussion and review of a resolution approving the purchase and cancellation of certain outstanding bonds through a tender offer; approving a Tender Agent Agreement, a Dealer Manager Agreement and other documents in connection therewith; authorizing certain officers to carry out all necessary actions related thereto; and making said recommendations to the Authority's Board of Directors.

5. Discussion and review of Voluntary Collection Agreement between the Authority, Harris County and HomeAway.com relating to the facilitation, collection and distribution of Hotel Occupancy Tax; and making said recommendation to the Authority's Board of Directors.

6. Discussion and review of fiscal year 2023 financial audit, including change of audit firm name due to sale of the Belt Harris Pechachek LLLP firm to its successor firm, Crowe, LLP; approval of the engagement letter reflecting said change; and other matters related thereto.

7. Discussion and review of proposed Investment Policy for the period 2024-2025; and other matters related thereto.

8. Discussion and review of unaudited year-to-date investment highlights; and other matters related thereto.

9. Discussion and review of unaudited year-to-date financials; and other matters related thereto.

10. Discussion and review of event budgets; and other matters related thereto.

11. EXECUTIVE SESSION: Pursuant to provisions of Chapter 551, Texas Government Code, the Committee shall deliberate in Executive Session on the following: consultation with attorneys on legal matters; deliberation on real estate matters, and deliberation on real estate matters; and deliberation on personnel matters.

Reconvene in Public Session and announce any items from Executive Session; discussion and possible action on such items.
